Terms & Conditions
Note: This is an English convenience translation. The German version (AGB) is the legally binding version for contracts under German law.
§ 1 Scope
These Terms & Conditions apply to all IT services (including network planning, server setup, database administration, virtualization, firewall configuration, backup solutions) provided by Vitus IT Solutions, Silvan Rassat, to businesses within the meaning of § 14 BGB (German Civil Code).
§ 2 Formation of contract
Offers are non-binding. A contract is formed upon written order confirmation or upon commencement of the service.
§ 3 Scope of services
The exact scope of services results from the individual quote or service description. Changes and additions require text form and are billed separately unless otherwise agreed.
§ 4 Client's duty to cooperate
The client provides necessary access, information, and points of contact in a timely manner. Delays caused by lack of cooperation are not the contractor's responsibility.
§ 5 Fees and payment
The prices stated in the quote apply, plus statutory VAT where applicable. Unless otherwise agreed, invoices are due within 14 days without deduction.
§ 6 Liability
The contractor is liable without limitation for intent and gross negligence, as well as under the German Product Liability Act. For slight negligence, the contractor is only liable for breach of material contractual obligations, limited to the foreseeable, typical damage.
§ 7 Confidentiality & data protection
Both parties agree to keep confidential any confidential information and trade secrets obtained in the course of the collaboration. Processing of personal data is carried out in accordance with the GDPR.
§ 8 Term and termination
For ongoing services (e.g. maintenance or backup contracts), the terms and notice periods agreed in the respective contract apply.
§ 9 Final provisions
The law of the Federal Republic of Germany applies. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
